How we are governed
Caldmore is established as a not for profit company limited by guarantee. We are also a registered charity and a Registered Social Landlord (RSL). Our shareholders are community volunteers who have a desire to see us succeed in our mission as expressed through our values, goals and aspirations. As a not for profit company our shares are issued at a value of £1.00. This is then fixed for life and we do not pay dividends to shareholders.
At a strategic level we are governed by a voluntary Board of management elected by our shareholders and co-ordinated by the Chair of the Board, who will always be one of those elected members. We provide for up to 3 of our board members to be our current tenants or scheme residents. The Board has the overall responsibility for Caldmore as a business so it is essential that we recruit members who (collectively) have all the necessary skills and attributes to make sure we remain viable and make good progress. The current chair of the Board is Bruce Gilbert. Profiles of all of our Board members may be seen in our section on Key people. In accordance with company law the Board will each year elect a company secretary who is the official contact representing the company and with responsibility for making sure board meetings are properly called and adequate minutes are taken. It is our normal practice to elect the Finance Director to this role.
The Board delegates operational control of Caldmore to the staff team headed by the Chief Executive and 2 directors. The Chief Executive and Directors provide the important link between the strategic direction from the Board and the operational management of the company.
The Board holds quarterly evening meetings and on at least one other occasion each year meets for a whole day to plan ahead and set targets. Board members also serve on committees, which take a more detailed look into our strategies for asset management, Neighbourhood management and provision of care/support, or the Audit & Resources committee, which helps to monitor performance and check value for money. Our committee meetings are often opened up to allow resident participation (in addition to the elected tenant board members who are represented).
